ProDryWash Founding Partner Agreement: Terms & Conditions

Introduction

This document outlines the terms and conditions ("Terms") governing the relationship between ProDryWash ("Company," "we," "us") and you, an independent contractor Washer Partner ("Partner," "you"). By applying and being accepted as a Partner, you agree to be bound by these Terms.

1. Relationship of the Parties

Independent Contractor: You are an independent contractor, not an employee, agent, or franchisee of ProDryWash. You are solely responsible for your own taxes, insurance (excluding commercial liability insurance provided by the Company for jobs booked through our platform), and business expenses.

Control: You have full control over your schedule, the methods used to perform services (within the quality standards set by ProDryWash), and the tools you use (beyond the starter kit).

2. Partner Responsibilities & Requirements

Quality & Appearance Standards: You agree to perform all services at or above the quality standards outlined in ProDryWash training materials. You must wear the official ProDryWash uniform (e.g., company T-shirt) at all times while performing jobs to maintain a professional brand image.

Professional Conduct: You will maintain a professional appearance and demeanor at all times when representing ProDryWash. You are responsible for providing your own transportation to job sites.

Background Check: As a condition of partnership, you must pass a background check satisfactory to ProDryWash.

Starter Kit:

The starter kit provided remains the property of ProDryWash until the Partner's investment is paid in full. Partners are responsible for the care and maintenance of the kit.

Insurance Coverage: The commercial liability insurance provided by ProDryWash applies ONLY to jobs that are booked, managed, and paid for through the official ProDryWash platform. You acknowledge that performing any "side jobs" not routed through the platform is done at your own risk and without any insurance coverage from ProDryWash.

3. Job Acceptance & Availability

90-Day Guarantee Eligibility: To qualify for the 90-Day Earnings Guarantee, Partners must demonstrate a commitment to building their business. This requires:

Acceptance Rate: Accepting all job assignments sent through the ProDryWash platform.

Availability: Maintaining open availability for a minimum of 25 hours per week (Monday-Sunday) to accept potential jobs.

Scheduling:

While you control your schedule, consistently declining available jobs will impact your eligibility for the guarantee and your priority in the job queue.

4. Compensation, Payment Processing & Fees

Revenue Share: For each job booked and paid for through the ProDryWash platform, the Partner will receive 70% of the job's total price. The Company retains 30% as a platform and administrative fee.

Payment Processing:

All customer payments must be processed exclusively through the official ProDryWash app or website (prodrywash.com** or drywashpro.com). Partners are strictly prohibited from accepting direct payment from customers for services rendered.**

Tips:

100% of tips paid in cash or through the platform go directly to the Partner.

Insurance Fee: A monthly insurance fee of $100 will be deducted from your earnings to cover the commercial general liability policy provided by ProDryWash for all platform-booked jobs.

Payment Schedule:

Earnings, minus fees, will be disbursed weekly via direct deposit. Payouts are processed every Tuesday for all jobs completed and paid for in the preceding week (Monday-Sunday).

5. Anti-Circumvention, Insurance, & Termination

Strict Prohibition:

Partners are expressly forbidden from soliciting or accepting jobs directly from customers they met through the ProDryWash platform, or from diverting customers away from the platform for future services ("side deals"). This is a material breach of this agreement.

No Insurance for Side Jobs:

Pro Dry Wash's commercial liability insurance does not cover any services performed outside of our platform. If you perform a job independently and not through the Pro Dry Wash platform, you are solely and personally liable for any damage to the customer's vehicle, any injuries, or any other claims that may arise. Pro Dry Wash will not be held accountable for the Washer or the customer in such instances.

Consequences:

Any violation of the payment processing or anti-circumvention policy will result in immediate disciplinary action, up to and including:

Formal warnings.

Immediate termination of the partnership.

Forfeiture of all pending bonuses, commissions, and payouts.

Legal action to recover lost revenue.

6. Investment, Financing, and Refund Policy

Investment Amount:

The total investment for the Founding Partner package is $3,999 if paid in full. Standard pricing is $4,999.

Financing Options: Financing is subject to credit approval. Terms are outlined in a separate financing agreement.

90-Day Earnings Guarantee: This guarantee applies only to Partners who meet the eligibility requirements in Section 3. If your total platform earnings within the first 90 days are less than your total investment, ProDryWash will refund the difference. The Partner keeps the starter kit.

7. Territory & Exclusivity

Limited Slots: ProDryWash limits the number of Partners in a designated territory to protect earnings.

Non-Exclusive: This agreement is non-exclusive. ProDryWash reserves the right to add more Partners if demand exceeds capacity.

8. Intellectual Property

The ProDryWash name, logos, mobile app, training materials, and business systems are the sole property of the Company. Partners are granted a limited license to use these for the duration of this agreement.

9. Termination

Either party may terminate this agreement with 30 days' written notice.

ProDryWash may terminate immediately for cause, including violation of these Terms, fraudulent activity, or solicitation of customers away from the platform.

10. Limitation of Liability

ProDryWash is not liable for any disputes between Partners and customers, nor for any indirect or consequential damages arising from this partnership. This limitation of liability expressly applies to any jobs not booked and paid for through the official ProDryWash platform.

Acknowledgement

By proceeding, you acknowledge that you have read, understood, and agree to be bound by these Terms. You understand that your success is dependent on your own effort, skill, and local market conditions.
